Every company in the UK is required to submit a confirmation statement at least once a year to Companies House. The confirmation statement confirms that a company is still required, and whether there have been any changes in its Standard Industrial Classification codes (SIC’s), Shareholders, Share Capital, or if any shares have been admitted to a trading market. It also confirms that all other information about the company on the public record (Directors, Registered Office, etc.) are up to date.
Failure to file an annual Confirmation Statement may lead to the following:
- Your credit rating may be affected
- The directors of the company may be prosecuted
- Your company may be struck off by Companies House
There are no automatic financial penalties for the late filing of a confirmation statement, unlike the penalties for late submission of annual accounts.
However, if your confirmation statement is overdue, we would recommend getting it filed as soon as possible.
